PURCHASE AGREEMENT
This PURCHASE AGREEMENT only applies to a nonprofit organization located outside of Maryland and the District of Columbia, as the Law Office of Jonathan Ackerman, LLC is not rendering legal advice to such nonprofit, and is providing only sample forms and educational materials to such nonprofit.  Thus, it is essential that such nonprofit engage a local attorney to, based upon local law, be responsible for the form and content of the finalized policies and properly implement them.

PURCHASE AGREEMENT

This PURCHASE AGREEMENT (hereinafter, "Agreement") is made between JONATHAN ACKERMAN, who is located in Owings Mills, Maryland (hereinafter collectively, "Seller"), and the NONPROFIT ORGANIZATION, which is located outside of Maryland and the District of Columbia, and which is the person registering hereunder (hereinafter, "Buyer").

1.	Review this Agreement

If Buyer is uncertain about the meaning of any aspect of this Agreement or wishes to discuss the Agreement, Buyer may contact Seller by electronic message prior to purchase, as provided on www.GetGoodGovernance.com (hereinafter "Website") or the Support tab above.

2.	Nature of the Products to Be Sold

Buyer has purchased one or more of the G3 Policy Packages from Seller through its secure online web space ("MyG3Matters") initially accessed through the G3 Policy Package tab on the Website.

It is understood by Buyer that Seller is not rendering any legal advice of any kind and is simply providing certain form documents and educational material relating to nonprofit governance.  Thus, it is essential that such nonprofit engage a local attorney to, based upon local law, be responsible for the form and content of the finalized policies and properly implement them.

3.	Purchase Price

Seller will provide the products purchased by Buyer, as described in the first paragraph in Section 2 hereinabove for the purchase price(s) set forth on or through the Website ("Purchase Price").
	
4.	Process for Purchase

Buyer must first register and pay the Purchase Price for the applicable G3 Policy Package(s) on its MyG3Matters web space.  Immediately thereupon, Buyer will have access to the Nonprofit Governance Questionnaire for completion, and shortly thereafter, the related educational videos will be made available to Buyer for review.  Within a reasonable time after the completion and submittal of the Nonprofit Governance Questionnaire by Buyer, the forms of policy documents, powerpoint slides and board resolutions will be made available to Buyer.

5.	Limitation of Products Offered and Content of Website

Seller is an attorney licensed to practice law in the State of Maryland and the District of Columbia, and any content available on or through the Website is not intended as an advertisement or solicitation by Seller for legal services in any state or jurisdiction other than Maryland and the District of Columbia.

Seller maintains the Website and the MyG3Matters web space, but links posted on either of them to other websites are provided only as a convenience, and Seller assumes no responsibility for the content, security, or reliability of any websites to which Seller has posted such links.  Any articles for general knowledge published on the Website and the MyG3Matters web space do not constitute legal advice regarding a specific legal issue Buyer may have.  Buyer must not rely on this general information without first communicating with its local attorney regarding Buyer's specific issue.  Spamming, which is the unsolicited broadcasts of e-mail addresses or links in the MyG3Matters web space, is prohibited and unauthorized.

6.	Copyright & Restriction on Use

Seller claims copyright protection on all of the content provided in the Website and the MyG3Matters web space, and on each component part of a G3 Policy Package.  Such content may not be reproduced, copied, or redistributed in any form without the express permission of Seller.  Such content cannot be modified nor can it be used for commercial purposes.  Each document posted thereon and that has been authored by Seller shall contain the following copyright notice:

Please use all component parts of the G3 Policy Package for the sole benefit of the Buyer in any way you see fit; however, there is one significant restriction to such use.  Each G3 Policy Package is copyrighted and contains proprietary information, and the Buyer (and its directors, trustees, officers, employees, volunteers, consultants and agents) receiving a G3 Policy Package shall only use each of its components parts for the sole benefit of the Buyer and shall not use, copy, reproduce, or distribute any of its component parts for any other nonprofit organization, or for any other purpose whatsoever.

 
7.	Web Tracking: Cookies and Information Collection

A.	Website

To view articles and public documents on the Website, a potential Buyer does not need to reveal any personal information.  The Website will present potential Buyer's browser with the option of accepting JavaScript and cookies in order to layout the Web page correctly and to store customized settings for the next visit.  These features may be disabled by a potential Buyer's browser.  However, this will limit the look and functionality of the Website.  All page requests are logged in order to properly maintain the service of the Website.

B.	MyG3Matters Web Space

In order to use the MyG3Matters web space, a potential Buyer must first register a username and provide personal information.  This information may then be used during Buyer's transactions with Seller solely to provide the products purchased hereunder.  The MyG3Matters web space uses cookies to store a session ID.  Therefore, in order to register on the MyG3Matters web space, cookies must be enabled so that Seller can provide a secure transaction.

C.	Registration

In order to purchase the desired products from Seller, a potential Buyer must register through the Website to the MyG3Matters web space.  By registering, a potential Buyer is representing that he or she is at least 18 years of age and able to purchase the applicable G3 Policy Package and enter into a binding contract with Seller, and if Buyer is signing on behalf of an entity (and not personally), then Buyer's signature or registration through the Website certifies that he or she has authority to sign on behalf of the entity and to act on behalf of the entity.  Furthermore, by registering, a potential Buyer represents that the information they provide is correct, accurate, and up-to-date.

D.	Reviewing and Updating Buyer's Information

Seller requests that Buyer keep personal contact information current.  After registering, Buyer may enter the MyG3Matters web space at any time to review and update Buyer's information.

E.	Contact Information

Seller prefers that Buyer provide information using the technology provided for on its personal login page within the MyG3Matters web space and accessed through the Website.  However, if this is not possible, Seller's business mailing address and phone number are:

8.	Extent of Liability

Seller will not be responsible under any legal theory for damages, including direct, indirect, incidental, consequential, or special, arising as a result of Buyer's use of the MyG3Matters web space or the Buyer�s purchase of a G3 Policy Package.  The general information provided on the Website and the MyG3Matters web space is provided without warranty of any kind, express or implied.  Seller reserves the right to change, modify, add, and delete the content thereon.

9.	Jurisdiction, Venue and Governing Law

Jurisdiction and venue for all disputes, including, but not limited to, payment of the purchase price for products purchased hereunder, this Agreement, the Website, the MyG3Matters web space (or such other binding arbitration entity as is otherwise agreed to between Seller and Buyer) shall lie exclusively in Baltimore County, Maryland, or the U.S. District Court in Baltimore, Maryland, if applicable.  Buyer irrevocably consents to personal jurisdiction in such courts with respect to any matters, and waives any defense thereto.  The terms of this Agreement shall be governed by and enforced to the extent permitted by law in accordance with the laws of the State of Maryland.

10.	IRS Circular 230 Disclosure

In compliance with the requirements of the IRS pertaining to the publication of Circular 230, Seller informs Buyer that any information contained on the Website, the MyG3Matters web space, or in any communication originating therefrom, that is related to U.S. federal tax advice, is not intended or created to be used, and cannot be used, for the purpose of (1) avoiding penalties under the Internal Revenue Code, or (2) promoting, marketing, or recommending to another party any transaction or matter that is contained on the Website, the MyG3Matters web space, or in any communication originating therefrom.

11.	Assignment

The rights and obligations created for Buyer hereunder may not be assigned to any other party.

12.	Force Majeure

Seller will not be deemed to be in breach of this Agreement for any delay or failure in performance caused by reasons out of its reasonable control, including acts of God or a public enemy, natural calamities, failure of a third party to perform, changes in the laws or regulations, actions of any civil, military, or regulatory authority, power outage or other disruptions of communication methods, or any other cause that would be out of the reasonable control of the Seller.

13.	Severance

In the event that one or more of the provisions of this Agreement shall be found unenforceable, illegal, or invalid, it shall not affect any other provisions of this Agreement, and this Agreement shall be construed as if the provision found to be unenforceable, illegal, or invalid had never been contained in the Agreement, or the unenforceable, illegal, or invalid provision shall be construed, amended, and/or reformed to be made enforceable, legal, and valid.

14.	Effective Date of this Agreement

The effective date of this Agreement will be the date when the Buyer registers and pays for the products purchased hereunder.  The terms of this Agreement, and the content and pricing of the G3 Policy Packages, are applicable as of the effective date of this Agreement, and may change at any time prior to the effective date of this Agreement.

By clicking on the "I Accept" button, Buyer agrees to the Terms and Conditions contained herein and consents to Seller�s use of DirectLaw, Inc. for its (i) document management, and document and information storage provider, (ii) application provider of the MyG3Matters web space, and (iii) credit card facility.

15.	Miscellaneous

This Agreement supersedes any prior or contemporaneous communications, representations, or agreements between Seller and Buyer and constitutes the complete and final agreement between the parties relating to this Agreement, the Website, the MyG3Matters web space, or any other products sold by Seller to Buyer.

The headers contained herein are provided for convenience only and shall not affect in any way the meaning or interpretation of this Agreement.  This Agreement shall be binding upon and inure to the benefit of the parties hereto, and their respective successors and permitted assigns, and the Buyer�s directors, trustees, officers, employees, consultants and agents (as may apply hereunder).

This Agreement contains the entire agreement of the parties hereto.  No other agreement, statement, or promises made on or before the effective date of this Agreement will be binding on the parties.  This Agreement, and all terms herein, may only be modified by a subsequent written agreement by the parties hereto.
