LIMITED SERVICES ENGAGEMENT AGREEMENT
This Limited Services Engagement Agreement has no application to a nonprofit organization located outside of Maryland or the District of Columbia, as the Law Office of Jonathan Ackerman, LLC is not rendering legal advice to such nonprofit, and is providing only sample forms and educational materials to such nonprofit.  Thus, it is essential that such nonprofit engage a local attorney to, based upon local law, be responsible for the form and content of the finalized policies and properly implement them.

LIMITED SERVICES ENGAGEMENT AGREEMENT

IF YOU ARE VIEWING THE FOLLOWING AGREEMENT PRIOR TO REGISTERING ON THE VIRTUAL LAW OFFICE WEBSITE OF THE LAW OFFICE OF JONATHAN ACKERMAN, LLC ("ATTORNEY"), PLEASE NOTE THAT THE FOLLOWING AGREEMENT IS FOR INFORMATIONAL PURPOSES ONLY, AND WILL ONLY BECOME EFFECTIVE UPON (A) YOUR REGISTRATION THROUGH THIS WEBSITE, (B) YOUR ACCEPTANCE OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, (C) YOUR PAYMENT FOR A CHOSEN G3 POLICY PACKAGE OR G3 LEGAL REVIEW, AND (D) YOUR RECEIPT OF NOTICE THAT ATTORNEY IS WILLING TO PROVIDE LEGAL SERVICES TO YOU AND ENTER INTO THIS AGREEMENT.  IF YOU ARE VIEWING THIS AGREEMENT PRIOR TO THE ACTIONS PROVIDED IN (A) - (D) ABOVE HAVING TAKEN PLACE, NO ATTORNEY-CLIENT RELATIONSHIP EXISTS BETWEEN ATTORNEY AND YOU.

This LIMITED SERVICES ENGAGEMENT AGREEMENT (hereinafter, "Agreement") is made between the LAW OFFICE OF JONATHAN ACKERMAN, LLC, which is located in Owings Mills, Maryland (hereinafter collectively, "Attorney"), and the NONPROFIT ORGANIZATION, which is located in either Maryland or the District of Columbia, as the case may be, and which is the person registering hereunder (hereinafter, "Client").  This Agreement is intended to meet the lawful goals of Client and to state the respective parties' rights and obligations hereunder.

1. Importance of Review of this Agreement

It is crucial that Client carefully review all terms included in this Agreement.  If Client is uncertain about the meaning of any aspect of this Agreement or wishes to discuss the Agreement, the Client may contact Attorney by electronic message prior to purchase, as provided on www.MDCharityLaw.com for nonprofit organizations located in Maryland, and www.DCCharityLaw.com for nonprofit organizations located in the District of Columbia (hereinafter "Website," as may respectively apply), or on the Support tab above.

2. Nature and Scope of the Services to Be Provided

The purpose of Attorney's limited representation under this Agreement is to provide for legal advice limited to a specific matter charged to Client with service provided in a cost-effective manner.  Client has either purchased one or more of the G3 Policy Packages or the G3 Legal Review from Attorney through its secure online web space ("Virtual Law Office" or "MyG3Matters") initially accessed through either the G3 Policy Package or G3 Legal Review tab on the Website.

Limited services provided by Attorney pursuant to this Agreement are based entirely on information provided by Client to Attorney and includes only those component parts as provided in the Website.  An attorney-client relationship is only established when the items in (A) - (D) in the first paragraph hereinabove have taken place.  Attorney may decline representation if it determines that a conflict of interest may arise in the representation or otherwise chooses to decline representation in its sole discretion.  After the provision of services provided for hereunder, Attorney will no longer act as Client's attorney and any attorney-client relationship will terminate, unless otherwise agreed to in advance in writing by the parties hereto.

Attorney has not agreed to provide any legal services extending beyond those services which Client has purchased under this Agreement.  After performing the services provided for hereunder, Attorney has no further obligation to Client unless mandated by the Rules of Professional Conduct provided by the State Bar in which the Attorney is licensed, See Section 6 below.  Upon Attorney's completion of services provided for hereunder, no further payment from Client will be due, unless otherwise pre-approved and agreed to in writing by the parties hereto.

3. Benefits of Full Representation

Client at any time has the alternative of seeking to retain full-service representation, which would provide Client with the benefit of a comprehensive range of legal services. While services to be provided hereunder are designed to be a cost-effective alternative to full-legal services, these services are no substitute for the benefits of full-service representation.

Client understands that at any time during the relationship provided for hereunder, Client may decide to retain full-service representation.  If so, Client may seek the assistance of Attorney, any other private attorney, or any free legal services, if available under such applicable income guidelines and other limitations.  If Client elects to retain full-service representation from Attorney or any other attorney, Client expressly agrees to honor Client's payment obligations as set forth in Section 4 herein.

Attorney makes no representations that Attorney will agree to provide Client with full-service legal representation.  In the event that Attorney and Client agree that Attorney will provide full-service representation, Attorney will provide Client with another engagement agreement separate and apart from this Agreement, which separate agreement will detail the scope of Attorney's representation and the basis or rate of the fee and expenses for which Client will be responsible, once pre-approved and agreed to in writing by the parties hereto.

Having been fully advised of the importance, benefits, and means of obtaining legal counsel for full-service representation, and having specifically declined at this time to enter into an Agreement with Attorney or another attorney undertaking such full-service representation, Client hereby gives informed consent to the provision of the limited legal services provided for hereunder.

If at any time limited legal services cannot reasonably or competently be undertaken in light of Client's specific legal needs and thus requires the engagement of a full-service law firm, Attorney will advise Client of the need for full-service representation.

4. Fee

Attorney will provide the services purchased by Client, as described in the first paragraph in Section 2 hereinabove, for the flat fee(s) set forth on or through the Website ("Fee"). Upon Attorney's completion of the services provided for hereunder, no further payment from Client will be due, unless additional services are otherwise pre-approved and agreed to in writing by the parties hereto.  For instance, if Client requires additional hourly time to finalize any of the applicable G3 Policy Packages, Attorney is willing to discuss a reduced hourly rate solely for that purpose, which shall be pre-approved and agreed to in writing by the parties hereto through its MyG3Matters web space.
 
5. Consent to Place Fee in Attorney's Operating Account

Attorney will treat the Fee as Attorney's property upon receipt and will place the Fee in its operating account.  If this Agreement did not permit Attorney to place the Fee into its operating account, Attorney would be required to place the Fee into its trust account.  Funds held in Attorney's trust account would generally be protected from Attorney's creditors, assure that sufficient funds are readily available to make a refund of the Fee (if applicable and as described below), and not be spent until earned.

However, even when the Fee is placed in Attorney's operating account, a part, or all, of the Fee may be refunded to Client to insure the reasonableness of the Fee under the particular circumstances.  It is further agreed between the parties hereto that the Fee will be deemed earned and reasonable at such time as either of the following shall occur, even if Client determines not to take advantage of the one (1) hour of consultation time:

G3 Policy Packages - At the time all component parts of the purchased G3 Policy Package, as described in the Website (other than the one (1) hour of consultation time), are made available to Client on its MyG3Matters web space.

G3 Legal Review - At the time that Client uploads the requested documents to Attorney on its MyG3Matters web space and Attorney has reviewed and analyzed such documents.

6. Limitation of Services and Website Content

Attorney is only licensed to practice law in the State of Maryland and the District of Columbia, and any content available on or through the Website is not intended as an advertisement or solicitation by Attorney for legal services in any state or jurisdiction other than Maryland and the District of Columbia.

Attorney maintains the Website and the Virtual Law Office, but links posted on the Website and the Virtual Law Office to other websites are provided only as a convenience, and Attorney assumes no responsibility for the content, security, or reliability of any websites to which Attorney has posted such links.  Any articles for general knowledge published on the Website and the Virtual Law Office do not constitute legal advice regarding a specific legal problem Client may have.  Client must not rely on this general information without first communicating with Attorney or other counsel regarding Client's specific matter.  Spamming, which is the unsolicited broadcasts of e-mail addresses or links in the Virtual Law Office, is prohibited and unauthorized.

7. Confidentiality - Security - Retention of Records

In compliance with the professional rules and restrictions of the Maryland and the District of Columbia Bars and the Rules of Professional Conduct, as may apply, Attorney is bound by stringent professional standards of confidentiality.

Any information received by Attorney from Client is held in strict confidence and is not released to anyone outside of this practice, unless Client gives informed consent or as provided for under applicable law.  In that regard, Attorney is pleased to use the services of DirectLaw, Inc. ("DirectLaw"), as its document management, document and information storage provider, and application provider of the Virtual Law Office.  All information, materials and documents exchanged between Client and Attorney on the Virtual Law Office during the course of this limited representation may be scanned and stored in a personal and confidential file with DirectLaw.  All such materials will be maintained in a confidential manner in accordance with Attorneys' rights and obligations to Client.  This Section is intended to inform Client of Attorney's relationship with DirectLaw in order provide full disclosure regarding the location in which such materials will be stored during the course of this limited representation.

Client must login to enter the Virtual Law Office.  All Client's records on the Virtual Law Office are securely retained in electronic files, along with secure backups, for the period of years required under law.  Primary communications are done through the Virtual Law Office over secure HTTP, which provides Client with the highest industry standard protection available on the Web.  Those responsible for the maintenance of the Virtual Law Office use secure programming techniques and best practices along with continual code auditing to ensure that it is as secure as possible.

For the most efficient and quickest turnaround, Client has the option to pay the Fee with a credit card through its Virtual Law Office.  All such payments are processed, through DirectLaw, by CISP-compliant credit card processors, and no credit card or payment account numbers are stored on its servers.  However, the use of a credit card company for the purposes of paying the Fee hereunder requires the disclosure of Client's personal information.  In addition, Attorney may have to cooperate with DirectLaw if a dispute should arise between the credit card company and Client regarding the payment or refund of the Fee. 8. Copyright & Restriction on Use

Attorney claims copyright protection on all of the content provided in the Website and the Virtual Law Office.  Such content may not be reproduced, copied, or redistributed in any form without the express permission of Attorney.  Such content cannot be modified nor can it be used for commercial purposes.  Each document posted thereon and that has been authored by the Attorney shall contain the following copyright notice:

Please use all component parts of the G3 Policy Package for the sole benefit of the purchasing nonprofit in any way you see fit; however, there is one significant restriction to such use.  Each G3 Policy Package is copyrighted and contains proprietary information, and the purchasing nonprofit (and its directors, trustees, officers, employees, volunteers, consultants and agents) receiving a G3 Policy Package shall only use each of its components parts for the sole benefit of the purchasing nonprofit and shall not use, copy, reproduce, or distribute any of its component parts for any other nonprofit organization, or for any other purpose whatsoever.

9. Web Tracking: Cookies and Information Collection

A. Website

To view articles and public documents on the Website, a potential Client does not need to reveal any personal information.  The Website will present potential Client's browser with the option of accepting JavaScript and cookies in order to layout the Web page correctly and to store customized settings for the next visit.  These features may be disabled by a potential Client's browser.  However, this will limit the look and functionality of the Website.  All page requests are logged in order to properly maintain the service and security of the Website.

B. Virtual Law Office

In order to use the Virtual Law Office, a potential Client must first register a username and provide personal information.  This information may then be used during Client's transactions with Attorney solely to provide limited legal services hereunder and to assess whether Attorney can provide reasonably competent representation under the terms of this Agreement.  The Virtual Law Office uses cookies to store a session ID.  Therefore, in order to register on the Virtual Law Office, cookies must be enabled so that Attorney can provide a secure transaction.

C. Registration

In order to retain the services Attorney will provide to a Client, a potential Client must register through the Website to the Virtual Law Office.  By registering, a potential Client receives access to a personal information page on the Virtual Law Office, where they may purchase our services in a secure manner.  By registering, a potential Client is representing that he or she is at least 18 years of age and able to enter into a binding contract with Attorney, and if Client is signing on behalf of an entity (and not personally), then Client's signature or registration through the Website certifies that he or she has authority to sign on behalf of the entity and to act on behalf of the entity, including instructing Attorney as to the entity's business, financial and other decisions.  Furthermore, by registering, a potential Client represents that the information they provide is correct, accurate, and up-to-date.

D. Reviewing and Updating Client's Personal Content

Attorney requests that Client keep personal contact information current.  After registering, Client may enter the Virtual Law Office at any time to review and update Client's personal information.

E. Contact Information

Attorney prefers that Client provide information using the technology provided for on Client's personal client login page within the Virtual Law Office and accessed through the Website.  However, if this is not possible and Attorney requires further information in order to review Client's legal matter, Attorney's business mailing address and phone number are:  �������

Attorney intends on maintaining an office in Owings Mills, Maryland, and offers the limited services hereunder solely through the Website.

10. Extent of Liability

Attorney will not be responsible under any legal theory for damages, including direct, indirect, incidental, consequential, or special, arising as a result of Client's use of the Virtual Law Office or purchase of a G3 Policy Package or the G3 Legal Review; provided however, nothing in this paragraph or Agreement shall in any way be construed as limiting Attorney's professional liability regarding any legal services rendered or contracted for hereunder.  The general information provided on the Website and the Virtual Law Office is provided without warranty of any kind, express or implied.  Attorney reserves the right to change, modify, add, and delete the content thereon.

In almost all matters this firm will handle, Client must exercise his, her or its business judgment, which in turn will affect the legal advice and results obtained.  Attorney is pleased that a Client will be able to enjoy the benefits of this limited services opportunity.  Though we make every effort to be accurate in our work and render the best possible professional legal advice, we are not perfect, nor do we guarantee that our advice will be correct in all instances.

If Client brings any claim, case or suit against Attorney, and the matter is adjudicated in our favor, or if the claim lacks merit or is deemed frivolous, Client understands that a court may make Client responsible for our reasonable attorneys' fees, court costs and time expended in defending such matter.

11. Jurisdiction, Venue and Governing Law

Our advice on all matters is confined to the law of Maryland or the District of Columbia, as may apply, and federal law.  If advice is required on the law of any other jurisdiction, Client will need to seek the advice of counsel licensed to perform legal services for such other jurisdiction.

All of the Attorney's services are deemed to be performed at our office in Owings Mills, Maryland.  Jurisdiction and venue for all disputes, including, but not limited to, payment for services or any matters related to our services hereunder, this Agreement, the Website, and the Virtual Law Office (or such other binding arbitration entity as is otherwise agreed to between Attorney and Client) shall lie exclusively in Baltimore County, Maryland, or the U.S. District Court in Baltimore, Maryland, if applicable.  Client irrevocably consents to personal jurisdiction in such courts with respect to any matters, and waives any defense thereto.  The terms of this Agreement shall be governed by and enforced to the extent permitted by law in accordance with the laws of the State of Maryland.

12. IRS Circular 230 Disclosure

In compliance with the requirements of the IRS pertaining to the publication of Circular 230, Attorney informs Client that any advice contained on the Website, the Virtual Law Office, or in any communication originating therefrom, that is related to U.S. federal tax advice, is not intended or created to be used, and cannot be used, for the purpose of (1) avoiding penalties under the Internal Revenue Code, or (2) promoting, marketing, or recommending to another party any transaction or matter that is contained on the Website, the Virtual Law Office, or in any communication originating therefrom.

13. Assignment

The rights and obligations created for Client hereunder may not be assigned to any other party.

14. Force Majeure

Attorney will not be deemed to be in breach of this Agreement for any delay or failure in performance caused by reasons out of its reasonable control, including acts of God or a public enemy, natural calamities, failure of a third party to perform, changes in the laws or regulations, actions of any civil, military, or regulatory authority, power outage or other disruptions of communication methods, or any other cause that would be out of the reasonable control of the Attorney.

15. Severance

In the event that one or more of the provisions of this Agreement shall be found unenforceable, illegal, or invalid, it shall not affect any other provisions of this Agreement, and this Agreement shall be construed as if the provision found to be unenforceable, illegal, or invalid had never been contained in the Agreement, or the unenforceable, illegal, or invalid provision shall be construed, amended, and/or reformed to be made enforceable, legal, and valid.

16. Effective Date of this Agreement

The effective date of this Agreement will be the date when the items in (A) - (D) in the first paragraph hereinabove have taken place.  The terms of this Agreement, and the content and pricing of the G3 Policy Packages and the G3 Legal Review, are applicable as of the effective date of this Agreement, and may change at any time prior to the effective date of this Agreement.

By clicking on the "I Accept" button, Client agrees to the Terms and Conditions contained herein, consents to the Attorney's use of DirectLaw for its document management, and document and information storage provider, and application provider of the Virtual Law Office, consents to Attorney placing the Fee into its operating account as provided in Section 5 herein, and if Client chooses to pay the Fee with a credit card, consents to the disclosures described in Section 7 herein in that regard.

17. Miscellaneous

This Agreement supersedes any prior or contemporaneous communications, representations, or agreements between Attorney and Client and constitutes the complete and final agreement between the parties relating to this Agreement, the Website, the Virtual Law Office, or any other services provided by Attorney.

The headers contained herein are provided for convenience only and shall not affect in any way the meaning or interpretation of this Agreement.  This Agreement shall be binding upon and inure to the benefit of the parties hereto, and their respective successors and permitted assigns, and the Client's directors, trustees, officers, employees, consultants and agents (as may apply hereunder).

This Agreement contains the entire agreement of the parties hereto.  No other agreement, statement, or promises made on or before the effective date of this Agreement will be binding on the parties.  This Agreement, and all terms herein, may only be modified by a subsequent written agreement by the parties hereto.
