PLC BUSINESS ESSENTIALS – TERMS OF USE & LIMITED LEGAL SERVICES AGREEMENT In addition to the Terms of Use and Privacy Policy applicable to the PLC website (PLC Site) generally (available at https://www.powelllegal.com/?open=terms-and-conditions and https://www.powelllegal.com/?open=privacy-policy, respectively), which are incorporated by reference to these Terms of Use ("terms"), the following terms and Limited Legal Services Agreement ("LLSA" – see section below) apply to your use of PLC Business Essentials Services (the "Services"). Your agreement to these terms and LLSA is required before you are permitted to complete your online registration. REGISTERING FOR USE OF THE SERVICES Registering on this site does not automatically create an attorney/client relationship between you and Powell Legal Counsel, Ltd ("PLC, Ltd"). You must be age 18 years or over to register to use the Services whereby upon completion of your registration submission you will receive a Username and Password. You must also be a resident of or authorized to do business in the State of Illinois ("Illinois") to receive legal advice from PLC, Ltd. The use of the Services is for your personal use only. You shall not permit any other party to have access to the Services. If you breach this term, PLC, Ltd can, without notice, revoke your Username or Password and refuse you access to all or any part of the Services. DOCUMENT PREPERATON Making the documents and forms ("PLC Docs") available via the Document Preparation System (the "DPS"), that is used to generate the PLC Docs, does not constitute legal advice. The DPS is designed to collect relevant information and data to assist in the preparation of documents on your behalf via a document assembly and drafting system (the "System"). The responses you give will dictate the content of the document produced. When using the DPS, you will be asked a series of questions; the answers you give will dictate the content of the document produced by the System. You alone are responsible for ensuring the answers or any information that you give is correct (this includes information in relation to the identity of any parties or signatories, their age or capacity). PLC, Ltd relies on you providing the correct information. You must carefully check that the document produced fully reflects your wishes. If it does not, you should not execute it. It is your responsibility to ensure that any PLC Docs document is properly executed in accordance with instructions that are provided to you. PLC Docs are prepared in accordance with the law of the jurisdiction specified in the document. You should not use the prepared documents for any other jurisdiction. The PLC Docs you complete online will be stored in the document store (the "Document Store") for a period of time. Upon completion of the review of your document, any of your PLC Docs held in the Document Store will be deleted, unless you have arranged for them to be archived. PLC, Ltd will also maintain a copy of the documents prepared for you for the period of time required under Illinois law. If you are not a resident of or authorized to do business in Illinois and choose to use the Services by purchasing or downloading free PLC Docs, you should review all documents carefully for accuracy before using them as they are provided on an "As Is Basis" with no guarantees or warranties, specifically: PLC, LTD PROVIDES THESE TERMS ON AN "AS IS" BASIS, AND SPECIFICALLY DISCLAIM ALL WARRANTIES, TERMS, REPRESENTATIONS AND CONDITIONS WHETHER EXPRESS, IMPLIED, OR STATUTORY, AND INCLUDING ANY WARRANTIES, TERMS, REPRESENTATIONS AND CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT. WHILE WE TAKE PRECAUTIONS TO PROTECT THE SECURITY OF YOUR INFORMATION, WE CANNOT GUARANTEE IT. LIMITED LEGAL SERVICES AGREEMENT If you are not a resident of or authorized to do business in Illinois, this LLSA section does not apply and your acknowledgement and agreement to complete your registration will only be based on the terms, set forth above. Otherwise, PLC, Ltd.’s agreement to advise you for Limited Legal Services (LLS) will begin: 1. after you register online, 2. when PLC, Ltd receives payment of your fee and 3. when PLC, Ltd accepts you as a client. The Services you are registering to use on this PLC Site are unbundled LLS. Unbundled LLS means you purchase the legal services or advice you need and no more (e.g.; legal forms bundled with legal advice for a fixed price; legal advice purchased by the question or by the session; legal review and analysis of a single document; court coaching services, where your attorney assists you in representing yourself in court, but doesn't make an appearance on your behalf). Therefore, you will be charged a one-time fixed fee for each service or task requested, as specified on the PLC Site and/or the description of services agreed with PLC, Ltd. Once PLC, Ltd completes the legal task or service purchased, you are making no commitment to use PLC, Ltd or the Services at any other time in the future. Likewise, PLC, Ltd has not agreed to represent you for any other purpose and does not have to provide any legal assistance other than the limited services listed on the PLC Site page that describes the particular service that you are purchasing from PLC, Ltd. This means PLC, Ltd has no further obligation to you after completing the task or service that you have purchased and that unless PLC, Ltd expressly agrees to undertake future services, after the completion of any purchased service, you do not expect PLC, Ltd to provide future services nor does PLC, Ltd expect future payments. If PLC, Ltd prepares a document for you and it requires filing procedures, unless otherwise agreed in writing, you agree to take responsibility for having the document filed properly and in compliance with any legal procedure according to the instructions that are provided to you. PLC, Ltd does not promise or guarantee any particular outcome. PLC, Ltd will rely entirely on you to provide the facts of your situation and will not make further investigation of the facts. If an attorney/client relationship is created, all communications between you and PLC, Ltd will remain confidential and PLC, Ltd may decline to give you advice if there is a conflict of interest as set forth in the Illinois Rules of Professional Conduct. You Acknowledge, Understand and Agree: •There is no obligation or fee charged for registering on this PLC Site. •You must be a resident of or authorized to do business in Illinois to request and receive legal advice from PLC, Ltd for legal services purchased from the PLC Site. •If you are not a resident of or authorized to do business in Illinois access to the Services and PLC Docs is on an "As Is Basis" with no guarantees or warranties. •Any legal services you purchase on the PLC Site are limited and unbundled. •Unless otherwise agreed in writing with PLC, Ltd, you are responsible to properly and timely file your legal documents and to comply with any federal, state and local county procedures. •If any dispute between you and PLC, Ltd arises under these terms and LLSA concerning the payment of fees, both parties will submit the dispute for fee dispute resolution. •These terms and LLSA, (and all communications), are governed by and will be construed in accordance with the law of the State of Illinois and the courts of Illinois shall have jurisdiction in any legal proceedings.
